# Companies

The cast of orgs involved. Each is a **Party** (see [README.md](README.md)).
A given org can be operator / subcontractor / referrer / client *in
different engagements*. The role lives on the engagement, not on the
org itself.

*Illustrative, not exhaustive.* New companies enter and leave this
ecosystem regularly.

## Agencies (the ones doing or routing work)

### Bowden Works
- **Owner:** Rian (and Nicole Bowden on paper).
- **Nature:** Rian's agency. No employees; pool of freelancers.
- **Key engagements:**
  - With PlusROI: **partnership** (~60–70% of BW's work routes through
    this).
  - With Adi/Tingang: **subcontractor**, hourly (with markup).
  - With Heather: increasingly partnership on BW-direct projects.
- **Notable:** roughly half the value flowing through this app today
  derives from Bowden Works' role in this partnership.

### PlusROI
- **Owners (on paper):** Rob Cooper, Danielle Cooper.
- **Effective partner:** Rian (Bowden Works), undocumented but
  defensible 50/50 split after Danielle's bookkeeping cut.
- **Nature:** the central agency. Most freelance / agency / client
  relationships originate here.
- **Common engagements out:**
  - Bowden Works: partnership (only entity on this footing with PlusROI).
  - Heather, Yulia, Summer: per-unit freelance.
  - Carmen: occasional per-unit.
  - Commission to referrer agencies (AISV, TCIR, sometimes McAllister).
- **Common engagements in:**
  - McAllister: subcontractor or referrer (depends on project).
  - AISV: referrer for many clients.
  - Conversion Geek: subcontractor (clean A→A engagement).
  - NewGrowth: subcontractor (was opaque pre-dissolution).

### Tingang
- **Owner:** Adi Pramono.
- **Nature:** Indonesian dev shop. Arms-length from PlusROI; transparent
  to Bowden Works.
- **Key engagement:** Bowden Works as the only known customer (in our
  visibility — Tingang may also have independent clients).
- **Comp:** Adi calculates each team member's rate as a proportion of
  his own and invoices Bowden Works on the converted "Adi hours". Target
  is 140 Adi-equivalent hours/month.

### McAllister Marketing
- **Nature:** another marketing agency.
- **Common engagements:**
  - Subcontracts work to PlusROI (and is invoiced by PlusROI).
  - Refers clients to PlusROI for commission.
  - Has freelanced Summer (Agent Noir) for many years.
  - Recently received a fixed-price quote from Bowden Works directly
    (first BW↔McA direct engagement).

### What Works Marketing
- **Owner:** Rob Cooper.
- **Nature:** Rob's separate agency, parallel to PlusROI. Set up partly
  to operate outside the Rian↔Rob revenue-sharing arrangement.
- **Key engagements:** Carmen is the primary worker; sometimes overlaps
  the PlusROI freelancer pool.
- **Notable:** is effectively a competitor of PlusROI on some
  engagements, but with shared ownership.

### Customer First Design
- **Owner:** Nicole Donnelly.
- **Nature:** Nicole's umbrella; mostly inactive. Public face migrates
  every few years (Salty Waffle → AISV today).
- **Notable:** still the legal entity behind some legacy referral
  commissions.

### AISmart Ventures (AISV)
- **Owner:** Nicole Donnelly (Customer First Design parent).
- **Nature:** Nicole's current main public-facing brand. Andrea Rickett
  is the operational contact.
- **Common engagements:**
  - Refers clients to PlusROI and Bowden Works for commission.
  - Sometimes hires PlusROI/Bowden Works *as their own client*.
  - May be working with the same end-client on a separate scope of
    work simultaneously.

### Salty Waffle
- **Status:** defunct. Was the prior public face of Customer First.
- **Notable:** Community Financials originally came in via Salty Waffle;
  the commission obligation outlived the brand.

### Agent Noir
- **Owner:** Summer Coley-Ward.
- **Nature:** Summer's solo agency. No other team members.
- **Common engagements:**
  - Subcontractor for PlusROI and McAllister (long-running).
  - Has hired Bowden Works as subcontractor on her own clients (rare —
    a freelancer hiring an agency, not the other way around).
- **Future:** floated as a possible 3-way partnership vehicle with
  Rian + Heather.

### Conversion Geek
- **Nature:** another marketing agency. Pure A→A relationship with
  PlusROI: ConversionGeek owns the client, subcontracts to PlusROI for
  delivery. Transparent — the client knows PlusROI is doing the work.

### NewGrowth
- **Status:** dissolved (was Mark How's agency).
- **Notable:** had the **opaque-subcontractor** arrangement — PlusROI
  staff had to use `@newgrowth.com` emails and pretend to be NewGrowth
  employees. Worth modeling because similar arrangements may recur.

### Turks and Caicos Reservations (TCIR)
- **Nature:** referrer for resort clients to PlusROI; sometimes also
  an end client of PlusROI; has occasionally hired Bowden Works and Rob
  directly outside of PlusROI.

## End clients (parties paying for delivered work)

### Community Financials
- **Owner contact:** Russel Munz.
- **History:** originally engaged Salty Waffle, who referred PlusROI.
  Salty Waffle was later fired; PlusROI kept the engagement. Salty Waffle
  (now AISV) still receives commission with no operational visibility.

### Copernic
- **Nature:** subcontracted to PlusROI through McAllister. Monthly scope
  of per-unit-assignable work.

### Qualia Life Sciences
- **History:** end client of NewGrowth; PlusROI staff worked behind
  `@newgrowth.com` emails. After NewGrowth dissolved, Mark How became
  a partner at Qualia and PlusROI now contracts directly.

### Venetian and Tuscany
- **Nature:** two resorts under the same owner. Referred by TCIR (but
  no commission requested). Billed separately, same mailing address.

### DaxTech
- **Nature:** pure PlusROI client. PlusROI engages, assigns work to
  freelancers at per-unit rates, Bowden Works acts as project manager.
  Costs and revenue split 50/50 between BW and PlusROI.

### Hartling Group
- **Nature:** group of 3 hotel resorts. Formerly engaged PlusROI; had
  a falling out and now engages Bowden Works directly.
- **Sub-entities:** The Palms, The Sands, Shore Club (the 3 resorts).
- **Special:** there's also "Hartling Group" itself as a billing target
  — work for the group is split in thirds across the 3 resort invoices.
- **Engagement:** Heather does much of the work; her engagement shifted
  from per-unit-via-PlusROI to partnership-with-Bowden-Works.

### The Palms, The Sands, Shore Club
- **Nature:** the three Hartling Group resorts. Each is an invoiceable
  client in its own right.
